Terms of Service

These Terms govern your use of Notewell ("Notewell," "we," "us"), a browser extension and related website. By installing the extension or subscribing, you agree to these Terms. If you don't agree, don't use Notewell.
1. What Notewell is
Notewell is an AI writing assistant that runs in your own web browser. With your configuration, it reads posts on third-party platforms (such as Substack Notes) and drafts and submits replies on your behalf, using an AI model accessed through your own API key. Notewell runs locally in your browser and your logged-in session; we do not operate or control the third-party platforms it interacts with.
2. Eligibility
You must be at least 18 and able to form a binding contract. You are responsible for everything done through your installation of Notewell.
3. License and activation
- A paid subscription grants you a personal, non-exclusive, non-transferable license to use Notewell.
- Your license key may be activated on a limited number of devices. Do not share, resell, or publish your key.
- We may deactivate keys that are shared or used in violation of these Terms.
4. Subscription, trial, and billing
- Notewell is billed as a recurring subscription. A free trial, if offered, converts to a paid subscription unless you cancel before it ends.
- Payments are processed by our reseller / merchant of record, Lemon Squeezy, who handles billing and applicable taxes. Your purchase is also subject to their terms.
- Subscriptions renew automatically until cancelled. You can cancel anytime from your account/billing page; cancellation stops future charges and takes effect at the end of the current period.
- Except where required by law or expressly stated, fees are non-refundable.
5. Your own AI key
Notewell uses an AI model through an API key you provide (e.g. OpenRouter). You are responsible for that key, for any usage charges your AI provider bills you, and for complying with your AI provider's terms. Your key is stored locally in your browser and is not transmitted to us.
6. Acceptable use
You agree not to use Notewell to:
- send spam, harassment, deceptive, hateful, or unlawful content;
- impersonate others or misrepresent who is engaging;
- violate the rights of any person or any platform; or
- circumvent security, rate limits, or access controls beyond Notewell's normal operation.
7. Third-party platforms and account risk — please read.
Notewell is not affiliated with, endorsed by, or sponsored by Substack or any other platform. Automated or assisted engagement may violate a platform's terms of service, and platforms may restrict, suspend, or permanently ban accounts that use tools like Notewell.
You are solely responsible for your use of Notewell and for compliance with the terms of any platform you use it on. We make no guarantee that Notewell will avoid detection or that your account will not be actioned, and we are not liable for any suspension, ban, loss of access, lost followers, or other harm resulting from your use. You use Notewell at your own risk.
8. Disclaimers
Notewell is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding results, uptime, accuracy of AI-generated content, or compatibility with any third-party platform (which may change at any time and break functionality).
9. Limitation of liability
To the maximum extent permitted by law, Notewell and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, accounts, or goodwill. Our total liability for any claim relating to Notewell will not exceed the amount you paid us in the three (3) months before the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless Notewell and its operators from any claims, damages, and expenses (including reasonable legal fees) arising from your use of Notewell, your content, or your violation of these Terms or of any third party's rights or terms.
11. Termination
You may stop using Notewell and cancel at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the service. Sections that by their nature should survive termination (e.g. disclaimers, liability limits, indemnification) survive.
12. Changes
We may update these Terms. Material changes will be reflected by updating the date above and, where appropriate, by notice. Continued use after changes means you accept them.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which Notewell operates, without regard to conflict-of-laws rules.
